1. Agreement to Terms

By accessing or using OMGIQ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

OMGIQ is an AI-powered industry intelligence platform that delivers personalized daily digests of news, trends, and insights relevant to your selected industries. The Service includes content curation, AI-powered summarization, and multi-channel delivery (email, SMS, Slack, etc.).

3. Account Registration

To use OMGIQ, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Subscription Plans and Billing

4.1 Plans

OMGIQ offers three subscription tiers:

• Base: $9.99/month - 1 industry, 7-day free trial
• Entrepreneur: $19.99/month - Up to 5 industries
• Premium: $29.99/month - All 10 industries, advanced features

4.2 Free Trial

The Base plan includes a 7-day free trial. You may cancel at any time during the trial period without being charged. If you do not cancel before the trial ends, you will be automatically enrolled in the paid subscription.

4.3 Billing

Billing terms:

• Subscriptions are billed monthly in advance
• All fees are in USD unless otherwise stated
• Payments are processed securely through Stripe
• Refunds are provided at our discretion
• Price changes will be communicated 30 days in advance

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the period you've paid for.

5. Use of Service

5.1 Permitted Use

You may use OMGIQ for:

• Personal or professional industry intelligence gathering
• Staying informed about relevant industry trends
• Sharing insights within your organization

5.2 Prohibited Use

You may not:

• Resell, redistribute, or sublicense the Service
• Use the Service for any illegal purpose
• Attempt to reverse engineer or extract source code
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Share your account credentials with others

6. Content and Intellectual Property

The Service, including all content, features, and functionality, is owned by OMGIQ and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service.

7. Third-Party Services

OMGIQ integrates with third-party services (e.g., AWS, Stripe, Slack). Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability or performance of third-party services.

8. Disclaimers and Limitations

8.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" without warranties of any kind.

8.2 Content Accuracy

While we use AI and human curation to ensure quality, we cannot guarantee the accuracy, completeness, or timeliness of all content. You should verify critical information independently.

8.3 Limitation of Liability

To the maximum extent permitted by law, OMGIQ shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

9. Indemnification

You agree to indemnify and hold harmless OMGIQ, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service will cease, and we may delete your account data in accordance with our Privacy Policy.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.
